Introduction
This virtual classroom seminar will give you a detailed introduction and insight into the various duties and responsibilities of directors of private companies in Ireland.

What You Will Learn
This live and interactive session will cover the following:
- Directors’ fiduciary duties
- Key issues in respect of the nine (9) fiduciary duties of directors arising under section 228 of the Companies Act 2014 (the ‘Act’), including the new fiduciary duty to have regard to the interest of the creditors
- Directors’ other duties and responsibilities under the Act
- The different types of other duties and responsibilities of directors arising under the Act
- Transactions involving directors
- The regulation of transactions between companies and their directors and connected persons under section 238 and 239 of the Act, i.e. substantial property transactions and loans, quasi-loans etc to directors or connected persons
- Imposing person liability on directors for the debts and liabilities of the company
- The various circumstances in which the directors may be held personally liable for the debts and liabilities of the company
- Liability of directors as officers in default
- The various circumstances in which the directors may be held liable as officers in default of the company
- Liability of directors for offences committed through consent, connivance, or neglect
- The various circumstances in which the directors may be held liable for offences committed through consent, connivance, or neglect
- Documenting loans to directors
- The requirements for the documentation of loans to or from companies and their directors
- Disclosure of interests in contracts with companies
- The requirements in respect of the disclosure by directors of interests in contracts with the company
