Introduction

This live broadcast session covers the reasons for and procedure for altering how share capital appears.

Unlike the lengthy procedures that increase or decrease the amount of share capital (allotment, reductions, buybacks) usually only an ordinary resolution and filings at Companies House are required for procedures such as subdivision, consolidation, re-denomination and re-designation.

However, getting the procedure right can still be a challenge and can be more complex, particularly where the procedures are put together and/or change class rights.

This live introductory level session will explore how to alter share capital by consolidation, subdivision, redenomination, re-designation and conversion.

  • What each type of procedure is
  • Reasons for carrying out these procedures
  • How: explanations of the procedures individually and when put together
  • Different methods for converting shares from one class of shares to another
  • Issues to watch out for (such as inadvertent class rights variation and changes to tax status)
  • Real-life examples, sample resolutions and filings

Please note that this session does not look at tax and accounting issues in detail.
