Introduction

Share exchanges are an important tool in the tax planner’s arsenal and are used in a variety of situations when companies or groups of companies are reorganised. The technical complexity of the rules, and the practical implications, are often not fully appreciated by taxpayers or by their non-tax advisers, such as corporate lawyers and company secretaries. This course is designed to explain the detailed tax provisions, covering both capital gains rules and the stamp duty rules, and the common issues that we see.

This virtual classroom session should be attended by tax advisors who work on share exchanges and by company secretaries and corporate lawyers who would like a deeper understanding of the tax issues and of the points of company law and practical implementation that arise.
